SME IPO risks: what to check

A high quoted premium does not remove liquidity, business or application-size risks.

Updated 17 October 2026

Application size changes the risk

SME issues can require a much larger minimum commitment than mainboard issues. Check the current lot size, minimum lots and application category in the offer document. Never use a generic “one lot” figure as the minimum amount without checking the issue terms.

Liquidity and exits

A displayed price is not a guarantee that you can sell the quantity you hold at that price. Trading volumes can be thin, bid–ask spreads wide and market lot constraints restrictive. A market maker does not guarantee a profitable exit or continuous buying interest for your entire position.

Business concentration

Smaller businesses can depend on a few customers, suppliers, promoters or products. Examine concentration, related-party dealings, debt, cash generation and working-capital needs. Revenue growth without cash collection can leave the business exposed.

Valuation and information

A low share price does not by itself make a business cheap. Compare the valuation with earnings quality, debt and genuinely comparable businesses. Read auditor qualifications, material litigation, promoter background and the use of proceeds.

GMP and subscription do not remove these risks

Unofficial premiums can change sharply. Heavy subscription does not establish fair value, guarantee allotment or assure a listing gain. A quote from before an update should not be mistaken for a current tradable price.

Before applying

  • Read the risk factors and issue terms in the current offer document.
  • Calculate the minimum application and consider the impact of a large loss.
  • Check trading-lot and exit constraints, not just the expected opening price.
  • Use money you can afford to keep exposed to equity risk.
  • Seek advice from an appropriately registered professional if you need a personal recommendation.

Start with company financials and valuation ratios. The ₹15,000 mainboard filter deliberately excludes SME issues.
